Archetype Terms of Service

1 - Archetype Devkit Memberships

These Terms of Service ("Agreement") govern your use of the Archetype Devkit Membership ("Devkit Membership"), operated by Archetype Themes LP ("Company," "Archetype," "we," or "us"). By subscribing to or using the private, members-only materials and benefits of a Devkit Membership, you agree to be bound by this Agreement. If you do not agree, do not subscribe to a Devkit Membership.

1.1 - Definitions

  • Devkit Membership: A paid subscription granting access to private, members-only materials and resources, including private GitHub repositories, Figma files, and other associated tools and services.
  • Authorized User: A customer who has purchased a seat for a Devkit Membership, including employees, consultants, or contractors authorized by the customer.
  • Services: The tools, software, documentation, and resources made available through Devkit Membership, including private GitHub repositories, Figma files, and such other associated and additional services as may be provided by the Company, in its sole discretion.
  • Customer Data: Data, files, content, and materials that customers upload, share, or otherwise make available via the Services, excluding the Devkit content itself or any confidential information related to Archetype.
  • Third-Party Products: Products, services, or software that are owned by third parties and incorporated into or accessed through Devkit Membership, including GitHub and Figma.

1.2 - User Access & Accounts

  • Account Creation: You must have an active GitHub account to access Devkit Membership.
  • Conditions of Use: By subscribing to a Devkit Membership, you confirm that you are at least 18 years old and agree to comply with all local laws and regulations. You are responsible for maintaining the confidentiality of your account and password and for all activities under your account. Access is granted only to the GitHub accounts linked to paid seats.

1.3 - License & Use

  • License: Subject to this Agreement, Archetype grants you a revocable, non-exclusive, non-transferable, non-sublicensable, limited right to access and use the private resources that are part of a Devkit Membership for your internal business operations by Authorized Users.
  • Restrictions:
    1. You may not reverse-engineer, resell, redistribute, or use Devkit resources to create a Shopify Theme that will be sold on the Shopify Theme Store or as part of a paid service or template. The contents of what is accessible in a Devkit Membership remain the intellectual property (IP) of Archetype Themes LP.
    2. You cannot use any Devkit Membership resources, in part or whole, for resale as a template or service. For example, you cannot create a theme and sell it on the Shopify Theme Store with the contents made accessible through a Devkit Membership.
  • Prohibited Actions: You agree not to:
    1. Collect, upload, transmit, display, or distribute any Customer Data that violates third-party rights or laws.
    2. Upload harmful software, send spam, collect user data without consent, interfere with the Services, or attempt unauthorized access.
    3. Use the Services to harvest information from other users without their consent or use any automated tools (e.g., bots) without permission.
  • Third-Party Terms: Access to Devkit Membership requires agreeing to GitHub’s terms of service, and access to Figma files requires agreeing to Figma’s terms of service.

1.4 - Customer Data

  • You agree to grant Archetype a non-exclusive license to use, copy, modify, publish and process Customer Data in the form of feedback or insights that you provided to us through our Services, without any further consent, notice and/or compensation to you or others.

1.5 - Payment & Subscriptions

  • Subscription Model: Devkit Membership is offered as a subscription-based service, providing access to private GitHub repositories, Figma files, and other collaborative tools. Members are also eligible for a rebate on annual subscription renewal based on the number of Shopify Theme Store purchases they've made in the past 12 months and the number of seats they are paying for.
  • Payment: If you purchase a Devkit Membership, you agree to pay us the applicable fees and taxes, as determined by the Company, from time to time. Failure to pay these fees may result in termination of your Services.
  • Renewal: If you purchase a Devkit Membership, you agree that you will automatically be charged at the start of each subscription period for the fees and taxes applicable to that period. To avoid future charges, cancel before the renewal date.
  • Payment Methods: Payments are processed through Stripe, which accepts credit cards and other supported payment methods.
  • Refund & Cancellation Policy:
    • Users can cancel at any time, retaining access until the end of the current billing cycle. No refunds will be provided for unused time in the billing cycle unless legally required.
    • Partial refunds are available for annual plans within the first 30 days of purchase. The cost of a one-month membership will be deducted from the refund.
    • Customers can contact billing@archetypethemes.co for double charges, billing errors, or failure to provide services as promised.
    • You are responsible for keeping your payment information up to date to avoid suspension of services.

1.6 - Data & Privacy

  • Data Collection: We collect email addresses, GitHub usernames, and payment information (via Stripe) to provide access to Devkit Membership.
  • Monitoring & Usage Data: Archetype may monitor your use of Devkit Membership through GitHub’s branching system. Data collected is anonymized and used to improve the Services. Aggregated data may be used to analyze performance and trends but will not identify individual customers.
  • Third-Party Sharing: By using Devkit Membership, you agree to have your user data shared with Stripe to process payments. No other third parties will have access to your data without your consent.
  • Privacy Policy: By using Devkit Membership, you agree to our Privacy Policy, which governs the collection, use, and protection of your personal data. You can review it at https://archetypethemes.co/policies/privacy-policy.

1.7 - Suspension of Service

Archetype may suspend or terminate your access to Devkit Membership for any violation of this Agreement, failure to make payments, or if we reasonably determine there is a security risk. We will use commercially reasonable efforts to notify you before any suspension and restore services if the cause for suspension is resolved.

1.8 - Support & Updates

  • Technical Support: Support is provided via a form on our website or through our community Slack channel. Our support team will respond as soon as possible.
  • Updates: Devkit Membership resources are subject to frequent updates. Members can integrate updates into their projects while retaining customizations using Git-based workflows.

1.9 - Warranties & Disclaimers

  • As-Is Product: Devkit Membership is provided "as-is" without any warranties, either express or implied. We do not guarantee that the product will meet your expectations or be error-free.
  • Third-Party Services: Any third-party services or products (such as GitHub and Figma) are provided as-is, and Archetype disclaims all warranties regarding third-party service availability.
  • Liabilities: Our liability is limited to the lesser of $500 and the annual subscription fee paid by the user during the last twelve months.

1.10 - Indemnification

You agree to indemnify, defend, and hold harmless Archetype, its officers, directors, employees, and agents from and against any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising out of: your use of the Devkit Membership; your violation of this Agreement; any harmful act toward any other user of the Services with whom you connected with via the Services, or your violation of the rights of a third party, including but not limited to intellectual property rights.

1.11 - Termination & Suspension

  • Termination by Us: We reserve the right to suspend or terminate your access to Devkit Membership at any time, for any reason, including violations of this Agreement. Upon termination, your account and access to Devkit resources will be immediately disabled, and any rebate or subscription benefits will be forfeited.
  • Account Deletion: Upon cancellation, your access to the GitHub repository will be removed. No other data, except payment history from Stripe, will be retained.

1.12 - Governing Law & Dispute Resolution

This Agreement is governed by and construed in accordance with the laws of British Columbia, Canada. All disputes arising out of or relating to this Agreement will be resolved through binding arbitration in British Columbia. You waive any right to bring claims in any other jurisdiction or participate in class actions.

1.13 - Modifications to Terms

We may revise this Agreement at any time. Notice of changes will be provided by posting an updated version of the Agreement on our website. Your continued use of Devkit Membership after any such changes indicates your acceptance of the new terms.

1.14 - Intellectual Property

All intellectual property related to Devkit Membership, including but not limited to software, designs, and trademarks, remains the property of Archetype Themes LP. Users may not reproduce, copy, or distribute any materials provided by Devkit without our prior written consent. Modifications to source code within private repositories are allowed under the scope of the license but do not grant ownership of the intellectual property.

2 - Archetype Website

These Terms of Use (these “Terms”) are a legal agreement between Archetype Themes Limited Partnership (collectively, “Archetype”, “we”, “our”, or “us”) and you, an individual accessing the website located at https://archetypethemes.co (the “Website”). The Website is made available to you for the purposes of providing you with access to information about Archetype, Archetype’s design templates and underlying code (“Themes”) and other product offerings (collectively, the “Services”). These Terms set out the terms and conditions that apply to your access and use of the Website and Services.

BY USING THE WEBSITE AND/OR SERVICES, YOU AGREE THAT YOU HAVE READ AND ARE INDICATING YOUR ACCEPTANCE OF, AND YOU AGREE TO BE BOUND BY, THE TERMS AND CONDITIONS OF THESE TERMS WHICH SHALL GOVERN YOUR ACCESS TO AND USE OF THE WEBSITE AND SERVICES. IF YOU DO NOT AGREE WITH ONE OR MORE OF THESE TERMS, YOU MAY NOT ACCESS OR USE THE WEBSITE OR SERVICES AND MUST EXIT THE WEBSITE AND REFRAIN FROM USING THE SERVICES.

THESE TERMS CONTAIN A RELEASE BY YOU OF ALL CLAIMS FOR DAMAGE AGAINST US THAT MAY ARISE OUT OF YOUR USE OF THE WEBSITE AND/OR SERVICES. BY USING THE WEBSITE AND/OR SERVICES, YOU AFFIRM THAT YOU AGREE TO THESE PROVISIONS.

 

2.1 - Modification of Terms

We may revise these Terms from time to time. The most current version will always be posted on our Website. Therefore, we recommend that you frequently visit the Website to monitor any changes to the Terms. In the event of any material change to these Terms, we may post a notice on the Website that we have changed these Terms. If we have your email address, we may (but are not required to) email you to provide notice that we have changed these Terms. If you use the Website after receiving notice of any such modification or replacement, you agree to have read and are indicating your acceptance of, and you agree to be bound by, the modified or replaced terms of use. Any changes will be effective only after the effective date of the change and will not affect any dispute arising prior to the effective date of the change.

 

2.2 - Access and License

Archetype hereby grants you a limited, non-exclusive, personal, non-transferable, non-sub-licensable and revocable right and license to (i) access the Website for the purposes of receiving the Services in accordance with these Terms; and (ii) access, view and print any information and documentation made available on the Website, for your personal, non-commercial and informational use only to assist you in the access and use of the Services.

 

2.3 - Trade-marks

You understand and agree that the Website and its entire contents, features, and functionality, including, but not limited to, all information, software, code, data text, displays, graphics, photographs, images, video, audio, music, broadcast, design, presentation, website layout, selection, and arrangement, are owned by Archetype, its licensors, or other providers of such material and are protected in all forms by intellectual property laws including, without limitation, copyright, trademark, patent, trade secret, and any other proprietary rights.

All product, brand and Archetype names and logos and trade-marks displayed on the Website or used in connection with the Services are the trade-marks of Archetype (or its suppliers, partner businesses or third party licensors). Any use of any of the marks appearing on the Website or in connection with the Services without the express written consent of Archetype or the owner of the mark, as appropriate, is strictly prohibited.

 

2.4 - Permitted Uses

You agree to use the Website and Services only for purposes that are permitted, both by the Terms and by any applicable law, regulation, or generally accepted practices or guidelines, in relevant local, national, and international jurisdictions.

You agree that when using the Website and Services, you will not:

  • access (or try to access) and use the Website or Services through any automated means, including without limitation, scrapers, scripts, robots or web crawlers;
  • submit false or misleading information via the Website or Services;
  • use or attempt to use another user’s account;
  • impersonate any person or entity, or falsely state or otherwise misrepresent yourself, your personal information or your affiliations with any person or entity;
  • publish, publicly perform or display, or communicate to the public or otherwise distribute to any third party any of the Website, Services or Archetype Content (except for Themes, to the extent permitted by the applicable license for the applicable Theme purchased from Shopify’s Theme store (the “License”));
  • market, sell, re-sell or make commercial use of the Website, Services or the Archetype Content (except for Themes, to the extent permitted by the applicable License);
  • systematically collect from the Website or Services and use any Archetype Content, including the use of any data mining, robots, or similar data gathering and extraction methods;
  • decompile, reverse engineer, disassemble, modify, or reduce the Website or Services to human perceivable form;
  • make derivative uses of the Website, Services or the Archetype Content;
  • post or transmit any files which contain viruses, worms, Trojan horses or other code that manifests contaminating or destructive properties;
  • post or transmit data or content which violates or infringes any third party rights, is false, misleading or inaccurate or is injurious to a third party or defames, libels or disparages any third party;
  • post or transmit data or content which would be considered a criminal offence, give rise to civil liability, or would otherwise violate the law;
  • take any action or use any program or device that may result in or is intended to interfere with the operation and functioning of the Website or Services or to shut down, overload or overwhelm the Website.

 

2.5 - Suspension and Termination of Access

Archetype may also suspend or terminate your access to the Website or Services or terminate these Terms at any time without written notice to you for any or no reason whatsoever. If these Terms are terminated for any reason, you are still bound by the provisions of the Terms that are intended to survive. EXCEPT TO THE EXTENT PROHIBITED BY LAW, ARCHETYPE HAS NO LIABILITY OF ANY KIND OR ANY NATURE WHATSOEVER TO YOU SOLELY BY REASON OF ANY CHANGE, MODIFICATION, SUSPENSION OR DISCONTINUANCE OF THE WEBSITE OR SERVICES OR ANY OR ALL OF THE WEBSITE OR SERVICES IN ACCORDANCE WITH ITS TERMS. EXCEPT TO THE EXTENT PROHIBITED BY LAW, YOU AGREE THAT YOU SHALL NOT MAKE ANY CLAIM AGAINST ARCHETYPE, INCLUDING WITH RESPECT TO ANY LOST REVENUE, PROFITS OR OPPORTUNITIES AS A RESULT OF SUCH CHANGE, MODIFICATION, SUSPENSION OR DISCONTINUANCE OR ON ACCOUNT OF ANY EXPENDITURES MADE OR ACTIONS TAKEN IN RELIANCE ON THE EXPECTED CONTINUATION OF THE WEBSITE, THE SERVICES OR THESE TERMS.

 

2.6 - Content

The Website and Services may include images, text, works, audio files, sounds, and other content and data that are owned by third parties (“Third Party Content”). You agree that all of the terms and conditions of these Terms relating to the Website and Services apply to your access to and use of any Third Party Content and you further agree to comply with any terms and conditions that are specific to the Third Party Content.

All content and data made available by Archetype through the Website and/or Services, and modifications, enhancements, upgrades, updates or customization thereto, including Themes and any Third Party Content, (the “Archetype Content”) is owned solely and exclusively by Archetype and/or the applicable third parties. Each Theme purchased is valid on a single Shopify storefront at a time, as further set out in Shopify’s terms and conditions. Without restricting Section 4 of these Terms, you may not share, resell, barter, trade or give away Themes in whole or in part, with or without modification, to any third party. If we discover unauthorized distribution of our Themes or other intellectual property, the License may be voided without refund and all storefronts using the applicable Theme(s) or unauthorized copies thereof must ceasing using them immediately.

If you provide Archetype with any comments, suggestions, recommendations, requests or any other feedback (“Feedback”), Archetype may use such feedback to improve the Website and/or Services, or for any other purpose. Furthermore, Archetype shall own such Feedback and Archetype and its affiliates, licensees, clients, partners, third party providers and other authorized parties may use, license, distribute, reproduce and commercialize the Feedback, and you hereby assign, irrevocably, exclusively and on a royalty-free basis, all such Feedback to Archetype. Archetype will have no obligation to consider, use, return or preserve any Feedback you provide to us. Any Feedback you provide to us may or may not be treated confidentially by us, and Archetype will have no obligation or liability to you for the use or disclosure of any Feedback.

 

2.7 - Disclaimers and Limitation of Liability

THE WEBSITE, SERVICES AND ARCHETYPE CONTENT ARE PROVIDED BY ARCHETYPE ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY REPRESENTATIONS, WARRANTIES OR CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

NONE OF ARCHETYPE, ITS AFFILIATES OR ANY OF THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, LICENSEES, SERVICE PROVIDERS, SUPPLIERS OR SUCCESSORS MAKES ANY WARRANTY, REPRESENTATION, OR ENDORSEMENT WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, SUITABILITY, ACCURACY, CURRENCY, OR AVAILABILITY OF THE WEBSITE, SERVICES OR THE ARCHETYPE CONTENT. WITHOUT LIMITING THE FOREGOING, NONE OF ARCHETYPE, ITS AFFILIATES OR ANY OF THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, LICENSEES, SERVICE PROVIDERS OR SUPPLIERS REPRESENT OR WARRANT THAT THE WEBSITE, SERVICES OR ARCHETYPE CONTENT, OR ITEMS FOUND OR ATTAINED THROUGH SAME WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT OUR WEBSITE, SERVICES, ARCHETYPE CONTENT OR THE SERVER THAT MAKES ANY OF THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

YOUR ACCEPTANCE OF THIS LIMITATION OF LIABILITY IS AN ESSENTIAL TERM OF THESE TERMS AND YOU ACKNOWLEDGE THAT ARCHETYPE WOULD NOT GRANT ACCESS TO THE WEBSITE OR SERVICES WITHOUT YOUR AGREEMENT OF THIS SECTION. SOME JURISDICTIONS DO NOT ALLOW THIS LIMITATION OR EXCLUSION OF LIABILITY SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.

If you are dissatisfied with the Website, Services, Archetype Content or any of the terms, conditions, guidelines, practices or policies of Archetype in operating the Website and in providing the Services, you agree that your sole and exclusive remedy shall be to discontinue accessing the Website and Services.

 

2.8 - Collection, Use and Disclosure of Personal Information

The collection, use and disclosure of personal information or data provided to Archetype through this Website and Services is governed by our privacy policy (the “Privacy Policy”). Please refer to Archetype’s Privacy Policy for more information.

The Website may link or direct you to third party websites, including Shopify’s website, for your convenience. Access to third party websites from the Website is governed by our Privacy Policy. Please refer to Archetype’s Privacy Policy for more information.

2.11 - Jurisdiction and Governing Law

You agree that these Terms shall be exclusively governed by, construed and interpreted in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein. You irrevocably attorn to the exclusive jurisdiction of the courts of the Province of British Columbia in respect of all matters and disputes arising hereunder. You expressly agree that, in the event that there is a dispute under these Terms and such dispute is to be resolved in a court of law, such dispute shall not be resolved by jury trial and you hereby waive any right to trial by jury.


2.12 - Geographic Restrictions

This Website and the Services are not intended for use in any jurisdiction where its use is not permitted. If you access the Website or Services from outside of Canada, you do so at your own risk as these countries may provide a lower level of data protection and privacy. You are responsible for compliance with local laws of your jurisdiction.

 

2.13 - Indemnification

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Archetype, its affiliates and each of their respective directors, officers, employees, agents, service providers, contractors, licensors, licensees, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to your breach of these Terms or your use of the Website or Services, including without limitation third party sites any use of Archetype Content other than as expressly authorized in these Terms.

 

2.14 - Waiver

No failure to exercise, or delay in exercising, any right, remedy, power, or privilege arising from these Terms operates, or may be construed, as a waiver thereof; and no single or partial exercise of any right, remedy, power, or privilege hereunder precludes any other or further exercise thereof or the exercise of any other right, remedy, power, or privilege.

 

2.15 - Entire Agreement

These Terms, the Privacy Policy and any documents incorporated by reference herein, constitute the entire agreement between you and Archetype as it relates to the access to, and use of, the Website and Services and the subject matter of these Terms, and supersede all prior or contemporaneous agreements, negotiations, representations and proposals, written or oral between Archetype and you.

 

2.16 - Severability

If any provision of these Terms is held by a court of competent jurisdiction to be invalid or unenforceable in any respect, then the remaining provisions of these Terms, or the application of such provisions to persons or circumstances other than those as to which it is invalid or unenforceable shall not be affected thereby, and each such provision of these Terms shall be valid and enforceable to the extent permitted by law.

 

2.17 - Assignment

These Terms are personal to you, and are not assignable, transferable, or sublicensable by you except with Archetype’s prior written consent. Archetype may assign, transfer, or delegate any of its rights and obligations hereunder without your consent.

 

2.18 - Electronic Documents
